Methodology & data sources

What this is. A near-real-time nowcast of US private-capital formation, built from SEC Form D filings. Issuers raising capital in exempt offerings (Reg D 506(b)/506(c), Reg D 504) must file a Form D within 15 days of first sale, so the monthly filing count tracks fresh private-fundraising activity — venture, growth, real-estate syndications, private funds and operating companies alike.

The feed. We query EDGAR full-text search (efts.sec.gov/LATEST/search-index?forms=D) once per calendar month; the response's hits.total.value is the filing count. Counts include Form D and D/A (amendments), so they measure filing activity rather than unique new offerings — month-over-month change is the signal, not the absolute level.

Coverage & honesty. The volume and momentum series are fully live. Sector, offering size and fund-vs-operating-company splits live inside each Form D's XML (Items 4, 13) and are a documented fast-follow — the refresh script can fan out to the per-filing XML to populate them. We do not estimate or fabricate a sector breakdown here.

Cadence. Refresh weekly; the partial current month is extrapolated only for the labelled run-rate stat, never written into the historical bars.
